KomBea Corporation End User License Agreement (EULA)

IMPORTANT – PLEASE READ CAREFULLY: This End User License Agreement ("Agreement") is a legally binding contract between you, either an individual or a single entity ("You" or "Your"), and KomBea Corporation ("KomBea," "We," "Us," or "Our") regarding Your use of KomBea's software and services. By installing, copying, or otherwise using the software, You agree to be bound by the terms of this Agreement.
1. LICENSE GRANT: KomBea grants You a non-exclusive, non-transferable, revocable license to use the software provided by KomBea, subject to the terms and conditions set forth herein.
2. USER RESPONSIBILITIES: You agree to use the software only for lawful purposes and in accordance with this Agreement. You are responsible for complying with all applicable laws and regulations while using the software.
3. INTELLECTUAL PROPERTY: All intellectual property in the software, including any associated documentation and all copyrights and trademarks, is owned by KomBea or its licensors. You are granted no right or interest in the intellectual property other than the right to use it in accordance with this Agreement.
4. UPDATES AND MODIFICATIONS: KomBea may provide updates or modifications to the software and may require You to install such updates to continue using the software. All updates or modifications shall be deemed part of the software and subject to the terms of this Agreement.
5. WARRANTY DISCLAIMER: The software is provided "as is" without any warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
6. LIMITATION OF LIABILITY: In no event shall KomBea be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, revenue, data, or data use. KomBea's maximum liability for any damages arising out of or related to this Agreement or Your use of the software shall not exceed the amount paid by You for the software.
7. TERMINATION: This Agreement is effective until terminated. KomBea may terminate this Agreement immediately without notice if You fail to comply with any term or condition of this Agreement.
8. GOVERNING LAW AND DISPUTE RESOLUTION: This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without giving effect to its conflict of laws provisions. Any dispute arising out of or in connection with this Agreement shall be resolved in the state or federal courts located in Utah.

10. MISCELLANEOUS: This Agreement constitutes the entire agreement between You and KomBea regarding the software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding the software.
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
